1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of ReviewPro, available at https://www.reviewpro.co.in, including our website, dashboards, QR codes and standees, digital catalogue, online ordering, appointment booking, AI-assisted content tools and any related services (together, the "Service").

By creating an account, registering a business location, generating a QR code, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you are using the Service on behalf of a business, you represent that you have authority to bind that business. If you do not agree to these Terms, do not use the Service.

2. Eligibility and Accounts

• You must be at least 18 years old and able to form a binding contract to use the Service.
• You are responsible for the accuracy of the information you provide and for keeping your login credentials confidential.
• You are responsible for all activity that occurs under your account, and you must notify us promptly of any unauthorised use.
• You may connect third-party accounts (for example Google Business Profile or Google Calendar). You confirm you are authorised to connect those accounts and to grant us the permissions you approve.

3. Description of the Service

ReviewPro is an AI-assisted platform that helps local businesses (a) collect and manage Google reviews, (b) share a live digital catalogue, (c) accept online orders, and (d) let customers book appointments — from a single dashboard. Features include QR codes and printable standees, AI-generated review and reply drafts, review-reply management, email notifications, Google Calendar syncing for appointments, and analytics.

We may add, change or remove features at any time. Some features require a paid plan, as described in Section 4.

4. Plans, Fees and Billing

• ReviewPro offers a free starting plan for your first business and paid add-on plans (for example analytics, catalogue and additional businesses) as described on our pricing page.
• Paid plans are billed through our payment processor, Razorpay. By subscribing you authorise us (and Razorpay) to charge the applicable fees on a recurring basis until you cancel.
• Prices are shown in Indian Rupees (₹) and are exclusive of applicable taxes unless stated otherwise.
• Subscriptions renew automatically. You can cancel at any time; cancellation stops future renewals and your plan stays active until the end of the current billing period.
• Except where required by law or expressly stated by us, fees already paid are non-refundable.
• We may change prices or plan features with reasonable notice. Continued use after a price change takes effect constitutes acceptance of the new price.

5. Acceptable Use

You agree to use the Service lawfully and responsibly. In particular, you agree that you will not:

• Solicit, create, purchase or publish fake, incentivised or fraudulent reviews, or offer any reward in exchange for a review.
• Engage in review gating — filtering or hiding negative feedback from customers in a way that misleads them or violates Google's policies.
• Misrepresent your business, locations, products, services or pricing to customers.
• Send unsolicited or spam messages, or message people who have not consented to be contacted.
• Upload content that is unlawful, infringing, defamatory, deceptive, hateful or otherwise objectionable.
• Reverse engineer, scrape, overload, bypass or interfere with the Service, its security features or its rate limits.
• Use the Service to violate any applicable law or the terms of any third-party platform, including Google.

6. Google Business Profile and Review Compliance

ReviewPro connects to the Google Business Profile APIs to display and manage your public reviews. Google maintains strict policies regarding reviews and business content, including prohibitions on fake reviews, review gating, incentivised reviews and misleading content.

• You must comply with all applicable Google policies and terms, including Google's review policies and the Google Business Profile Terms of Service.
• You are solely responsible for the reviews you collect and the replies you publish, and for ensuring your review-collection practices comply with Google's rules.
• ReviewPro is not responsible for any action Google takes against your business profile — including review removal, profile suspension or changes in ranking — resulting from your own business practices or content.

7. Google Calendar Integration

If you enable calendar syncing, you grant ReviewPro permission (via the Google Calendar API) to create, update and delete events on your primary Google Calendar for appointments booked through your ReviewPro pages, and to read your primary calendar's timezone. You can disable this at any time from your dashboard settings or by revoking access at https://myaccount.google.com/permissions. We are not responsible for calendar conflicts, missed events or incorrect times caused by data you configure (for example, wrong timezone, availability or slot settings).

8. AI-Generated Content

Our AI-assisted features generate review and reply drafts using Google's Gemini models. These drafts are suggestions provided for your convenience only. AI output may be inaccurate, incomplete or unsuitable. You are solely responsible for reviewing, editing and approving all AI-generated content before you publish, send or otherwise use it. ReviewPro makes no warranty as to the accuracy, legality, originality or suitability of AI-generated content.

9. Your Content and Licence

You retain ownership of the content you submit to the Service (your business data, catalogue, images and text). By submitting content, you grant ReviewPro a worldwide, non-exclusive, royalty-free licence to host, store, process, display and transmit that content solely to operate and provide the Service to you. You represent that you have all rights necessary to submit that content and that it does not infringe any third party's rights.

10. Intellectual Property

The Service, including its software, design, trademarks, logos and documentation, is owned by ReviewPro and its licensors and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. You may not copy, modify, distribute or create derivative works of the Service without our prior written consent.

11. Third-Party Services and Terms

The Service relies on and integrates with third-party services, including Google (Business Profile, Calendar and Gemini), Firebase, Resend, Razorpay and Vercel. Your use of those services may be subject to their own terms and policies. ReviewPro is not responsible for third-party services, their availability, or their acts and omissions. You are responsible for complying with the terms applicable to any third-party account you connect.

12. Privacy

Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Service you consent to that handling.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that it will produce any particular business result (such as a specific rating increase or number of reviews).

14. Limitation of Liability

To the maximum extent permitted by law, ReviewPro and its creators, officers, employees and suppliers shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, revenue, data, use, goodwill or other intangible losses, arising out of or relating to your access to or use of (or inability to access or use) the Service. Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid to ReviewPro in the three (3) months preceding the event giving rise to the claim.

15. Indemnification

You agree to indemnify and hold harmless ReviewPro and its officers, employees and suppliers from any claims, damages, losses, liabilities and expenses (including reasonable legal fees) arising out of or related to your content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right (including Google's policies).

16. Suspension and Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we reasonably believe your use poses a risk to the Service, other users or third parties. On termination, your right to use the Service ends, and we may delete your data in accordance with our Privacy Policy. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability and indemnification) will survive.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, without regard to its conflict-of-law rules. Subject to applicable law, the courts located in India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service. Before starting formal proceedings, you agree to contact us at support@reviewpro.co.in so we can try to resolve the matter informally.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, notify you in-app or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

19. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. These Terms, together with our Privacy Policy and any plan-specific terms, constitute the entire agreement between you and ReviewPro regarding the Service and supersede any prior agreements.
